Terms of Service — Morphiz Voxera

1. Who these terms are with

These terms are an agreement between you and Morphiz.

Morphiz is the trading name of Arbenit Kryeziu, a sole trader (Einzelunternehmen) registered in Germany, Gutenbergstraße 73, 70197 Stuttgart. Email: support@morphiz.ai

"Morphiz", "we", "us" and "our" mean Arbenit Kryeziu, trading as Morphiz. "You" means the person using the Service and, where you use it for an employer, that organisation.

By creating an account you accept these terms and our Privacy Policy.

2. What the Service does

Morphiz Voxera turns a spoken description of field work — together with photographs and job context — into a structured written report that you can edit, export as a PDF, and share.

The Service is intended for business use by trades, construction, service, maintenance, manufacturing, automotive and real estate professionals. It is not intended for consumers.

3. Accounts

• You must be at least 16 years old and able to enter into a contract.
• You must give accurate registration details and keep your password secure.
• You are responsible for everything done through your account.
• One person, one account. Do not share credentials — invite colleagues to your organisation instead.
• Tell us promptly at support@morphiz.ai if you believe your account has been accessed without your permission.

Organisations. When you register you create an organisation, and you are its owner. You may invite colleagues and assign them roles. The organisation's owner controls the organisation's data and can remove members. If you use the Service through an employer's organisation, your employer controls that data and may remove your access.

4. What you may not do

You may not:

• Record any person without the consent required by the law that applies to you. This is your responsibility, not ours — we cannot know who is in the room. Many countries require the consent of everyone being recorded.
• Use the Service to process health data about identifiable people, or information covered by legal professional privilege. The Service is not designed or certified for either, and the corresponding report types are deliberately unavailable.
• Upload anything unlawful, infringing, malicious, or that you have no right to upload.
• Attempt to access another organisation's data, probe or disrupt the Service, or circumvent its limits.
• Resell or white-label the Service without a written agreement with us.
• Use the Service to build a competing product.

We may suspend an account that breaches this section.

5. Artificial intelligence — accuracy, and your responsibility

Read this section. It is the most important one in this document.

Reports are generated by an artificial intelligence system from what you dictated. The system is instructed not to invent quantities, measurements, part numbers, dates, names, locations, costs or safety incidents, and we have taken considerable care over that instruction. It is still a machine, and it can be wrong.

Therefore:

• Every report is a draft until you have read it. You must review and correct a report before you sign it, file it, rely on it, or send it to a customer.
• You remain the author. A report you approve is your professional statement, not ours.
• Do not use the Service where an error would be dangerous without independent verification — structural safety assessments, statutory inspections, or anything a life depends on.
• Transcription accuracy varies with background noise, accent and language. Site conditions are noisy.

We give no warranty that a generated report is accurate, complete, or fit for any particular purpose.

6. Offers and invoices are not tax documents

The Service can produce offer and invoice documents from what you dictate. These are drafts of commercial documents, not compliant tax invoices.

Specifically: there is no sequential invoice numbering, no VAT rate validation, and no check against any country's invoicing legislation. Statutory fields are left blank for you to complete. Prices come only from what you said.

You are responsible for making any invoice you issue comply with the tax law that applies to you, and for the arithmetic on it. If you need a compliant invoicing system, use one.

7. Your content

You own your content — your transcripts, reports, photographs, project data and templates. We claim no ownership of it.

You grant us a limited licence to store, process and transmit that content solely to provide the Service to you: to transcribe it, generate the report, render the PDF, and serve any share link you create. That licence ends when you delete the content or your account.

Share links. You can create a public link to a report. Anyone with that link can read that report without signing in. That is the point of the feature, and it is your decision to use it. You can revoke a link at any time and can give it an expiry date. Share links responsibly.

8. Plans, trial and payment

The Service is sold on subscription plans. The plans, their limits and their prices are published in the App and at morphiz.ai, and those are the ones that apply. At the time of writing:

8.1 The Trial

New organisations start on the Trial. It allows 10 reports in total, once per organisation — not 10 per month. It does not renew, it does not come back after a paid plan ends, and it never converts to a paid plan by itself. No payment details are required to use it.

8.2 What an allowance counts, and when it resets

An allowance counts reports generated. Editing, exporting, sharing and re-reading a report you already have costs nothing.

A paid allowance runs from the day you paid, not from the first of the month. A yearly plan receives twelve months' worth as a single pool for the year: you may use it unevenly, and nothing expires inside the year.

When the allowance is used up, no new reports are generated until the next period begins or you move to a larger plan. Everything you have already made stays available: you can still read it, edit it, export it and share it.

8.3 Paying

• The App itself is free to download and contains no purchases.
• Subscriptions are paid by card through Stripe, our payment processor. We do not receive or store your card details.
• Prices include VAT where VAT applies. A business in another EU member state with a valid VAT identification number is invoiced under the reverse charge procedure.
• Subscriptions renew automatically for further periods of the same length until cancelled.

8.4 Changing plan

• An upgrade takes effect immediately, and the difference is charged pro rata for the remainder of the current period.
• A downgrade takes effect at the end of the period you have paid for. Until then you keep the plan you paid for.

8.5 Cancelling

You may cancel at any time, from the billing portal in the App. Cancellation takes effect at the end of the period you have already paid for; you keep full use of the Service until then. We do not refund the remainder of a period that has begun.

8.6 If a payment fails

If a renewal payment fails, your plan continues for a grace period of 7 days while the payment is retried, and the App tells you what has happened. If it has not been settled by the end of that period, the organisation becomes read-only (section 8.7).

8.7 When a plan ends

An organisation whose plan has ended — cancelled, or unpaid past the grace period — becomes read-only. This means:

• Everything you have already created stays visible and can still be exported as a PDF, so you can take your records with you.
• No new reports are generated, and no new users can be added.
• We do not delete anything because a plan ended. Content is erased 90 days after the account ends, as set out in the Privacy Policy, or immediately if you delete the account yourself.
• A read-only organisation does not return to the Trial. Paying again restores full use.

8.8 Price changes

We may change prices with 30 days' notice, given by email or in the App. A change never affects a period you have already paid for. If you do not accept a new price, you may cancel before it takes effect.

9. Availability

We work to keep the Service running but do not guarantee uninterrupted availability. We may take it down for maintenance, ideally with notice.

The Service depends on third-party providers for hosting, report generation and transcription. An outage at one of them can become an outage here.

The App works offline. Recordings, photographs and edits made without a connection are stored on your device and sent when a connection returns. Do not uninstall the App, or delete its data, while work is waiting to sync — that work exists only on the device until it reaches us.

10. Ending the agreement

You may stop using the Service at any time and may delete your account from within the App. Deletion is immediate and permanent.

We may suspend or terminate your account if you materially breach these terms, if required by law, or if you do not pay. Except where you have breached these terms or the law requires otherwise, we will give you 90 days after your account ends to export your data before it is erased.

We may discontinue the Service with 90 days' notice, and will refund any period you have paid for and not received.

11. Liability

Nothing in these terms excludes liability that cannot lawfully be excluded, including for death or personal injury caused by our negligence, or for fraud.

Subject to that:

• The Service is provided "as is". We exclude all warranties not expressly given here, to the extent the law allows.
• We are not liable for indirect or consequential loss, loss of profit, loss of business, or loss of data (you can export your data at any time, and should).
• We are not liable for the content of a report you approved. Section 5 explains why: you review it, and you are its author.
• Our total liability in any twelve-month period is limited to the amount you paid us for the Service in that period, or €100 if you paid nothing.

12. Governing law

These terms are governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods.

Where you are a business (Kaufmann, a legal person under public law, or a public special fund), the exclusive place of jurisdiction is Stuttgart, Germany. We may also sue you at your own place of business.

If you are a consumer resident in the European Union, this does not deprive you of the protection of the mandatory law of your country of residence, and you may bring proceedings there.

13. Changes to these terms

We may update these terms. Material changes will be notified in the App or by email before they take effect, and the version number at the top will change. Continuing to use the Service after that means you accept the updated terms.

14. General

• If any provision is unenforceable, the rest remain in force.
• You may not transfer your rights under these terms without our consent. We may transfer ours to a successor of our business.
• These terms and the Privacy Policy are the entire agreement between us about the Service.
• Not exercising a right does not waive it.
